Board resolution attestation is usually asked for when a bank, a free zone authority or a government department wants proof that a company's board or shareholders approved a decision, not just that someone signed a letter saying so. ## What a board resolution is, and when UAE bodies ask for a notarised copy

A board resolution records a formal decision taken by a company's board of directors, or by its shareholders where the company's structure requires shareholder approval. In the UAE, a notarised or attested board resolution is commonly requested for:

- Opening a new corporate bank account, or changing who is authorised to operate an existing one.
- Appointing or removing a manager, director or authorised signatory.
- Approving a share transfer or a change in share capital.

- Opening, closing or changing details of a branch office.
- Authorising a major contract, a litigation step, or another act the company's own rules say needs board or shareholder approval.

The receiving party, whether a bank compliance team, a free zone registrar or a court, sets its own exact requirements for what the resolution must say and how it must be proven., since these can differ between a bank and a government department even for the same type of decision.

## Who signs it, and what it must contain

A board resolution is typically signed by the directors present at the meeting, or by the shareholders where shareholder approval is required, matching whoever the MOA or articles of association say must approve that type of decision. It should clearly record:

- The company's full name and trade licence number.
- The date and, where relevant, the location of the meeting or the basis on which a written resolution was passed.
- The names and titles of those approving the decision, matching how they appear on the trade licence and MOA.
- The exact decision being approved, worded precisely enough that a bank or authority cannot misread it.
- Signatures of everyone whose approval the company's own governance documents require.

A resolution that is vague about who exactly is authorised to act, or that lists a manager whose name does not match the current trade licence, is one of the more common reasons a bank or free zone sends a resolution back for correction.

## UAE company resolutions: notarisation route in Dubai

For a resolution passed by a UAE company, the notarisation step is usually completed before a notary public in Dubai, such as our in-house notary public, with the notary confirming the identity of the signatories and, where relevant, their authority to sign for the company.

## Foreign company resolutions: home notary, legalisation, UAE embassy, MOFAIC

If the resolution was passed by a foreign parent company or an overseas board, it needs to travel through the full legalisation chain before it is accepted in the UAE:

1. Notarisation, or the equivalent authentication step, in the country where the resolution was passed.
2. Legalisation in that country, typically by the foreign ministry.
3. Legalisation by the UAE embassy or consulate in that country.
4. MOFAIC attestation once the document reaches the UAE.
5. Translation into Arabic by a legal translator registered with the UAE Ministry of Justice, where the resolution is not already bilingual, with the translation itself notarised.

There is no apostille shortcut anywhere in this chain. The UAE is not a party to the Hague Apostille Convention, so an apostille stamp from the country of origin will not be accepted in place of embassy legalisation and MOFAIC attestation.

## Secretary certificate and supporting documents

Alongside the resolution itself, the receiving party often wants a secretary certificate, a short document from the company secretary or an authorised officer confirming that the resolution was validly passed, that quorum was met, and that the copy presented is a true copy of the original. Typical supporting documents include:

- The company's trade licence.
- The current MOA or articles of association, to confirm signing authority.
- Passports or Emirates IDs of the signatories.
- Any power of attorney, if someone is signing on behalf of a director or shareholder who cannot attend.

## Arabic translation

Notarised instruments in the UAE are generally required in Arabic, with a conditional exception for certain document types, and bilingual Arabic and English drafting is common practice for a board resolution so every signatory and the receiving bank or authority can read the same wording. Where a translation is used for an official purpose, it should come from a legal translator registered with the UAE Ministry of Justice, and it can itself be notarised at AED 50 per page under the federal schedule.

Federal notarial fees under Cabinet Resolution No. 19 of 2024 apply to notarising a board resolution, for example AED 200 per party for authenticating signatures on an instrument of unspecified value, or 0.5% of value above AED 100 thousand capped at AED 30,000 for a high-value resolution. MOFAIC attestation for a foreign company resolution, treated as a commercial document, is AED 2,000. Dubai private notary fees for a board resolution are set by a separate Dubai Courts decision, so ask us for the current fee when you book.
